LONGTOKENS USER AGREEMENT

This agreement (the "Agreement") applies to customers in Australia only.

This is a contract between you and Berkeley eCommerce Pty Ltd, trading as LongTokens (ABN 40 667 928 430).

References in this Agreement to "LongTokens", "we", "our", or "us" refer to Berkeley eCommerce Pty Ltd. References to "you" or "your" refer to the person or entity entering into this Agreement with us.

By clicking accept to the terms of LongTokens services, you agree that you have read, understood, and accepted all of the terms and conditions contained in this Agreement, as well as our Privacy Policy.

We refer to the Digital Currency Brokerage Services and Custodial Services (all defined below) collectively as the LongTokens Services.

You should be aware that the risk of loss in trading or holding Digital Currencies can be substantial. As with any asset, the value of Digital Currencies can go up or down, and there is a substantial risk that you lose money buying, selling, holding, or investing in digital currencies. You should carefully consider whether trading or holding Digital Currencies is suitable for you in light of your financial position.

1. ELIGIBILITY

To be eligible to use any of the LongTokens Services, you must be at least 18 years old and reside in Australia.

2. SERVICES

The following services may be provided to you by LongTokens:

2.1 Custodial Services – allowing you to hold an amount of cryptocurrency or fiat currency in your LongTokens account.

2.2 Brokerage Services – allowing clients to buy and sell cryptocurrency.

2.3 Fees – a full list of fees for LongTokens Services will be provided to clients upon signup.

3. ACCOUNT SETUP

3.1 Registration of LongTokens Account – To use our services, you must register for a LongTokens account by providing your name, email, and accepting this Agreement. You represent that you will use the services for yourself only unless otherwise approved in writing. You are responsible for all activity under your account.

3.2 Identity Verification – You agree to provide information for identity verification and anti-financial crime purposes. This may include your name, address, date of birth, ABN, bank account details, and other relevant information. You authorise us to verify this information and to maintain records in compliance with law.

3.3 Politically Exposed Persons (PEP) and Sanctioned Persons – We may check sanctioned or politically exposed person lists. You must disclose if you are on any such list.

4. LONGTOKENS DIGITAL CURRENCY SERVICES

4.1 In General – Your LongTokens account enables buying and selling Digital and Fiat Currency supported by LongTokens (e.g., AUD).

4.2 Fiat Transactions – Purchases of supported fiat currency are limited to currencies we support.

4.3 Transaction Fulfilment – We will make reasonable efforts to process all transactions but may be unable in certain circumstances.

4.4 Payment Methods – Payments must be made and cleared prior to executing transactions unless otherwise approved.

4.5 Brokerage Fees – Each transaction is subject to fees agreed at account opening. We may adjust fees with notice.

4.6 Prices and Order Types – Transactions are quoted in a chosen base currency. Market orders are subject to rate fluctuations.

4.7 Authorisations; Reversals; Cancellations – All transactions are final once executed.

4.8 Digital Currency Transactions – You are responsible for ensuring transaction details are accurate. Network (“miner”) fees may apply for crypto transfers.

4.9 Supported Digital Currencies – Only digital currencies supported by LongTokens may be used.

4.10 Complex Currency Transactions – Extended or complex orders may be partially cancelled if circumstances change.

4.11 Digital Currency Storage & Transmission Delays – Crypto keys may be stored offline, causing delays in processing transactions.

4.12 Your Private Wallets – Withdrawals to personal wallets must provide the correct address. Third-party payments are not supported.

4.13 Operation of Digital Currency Protocols – We do not control underlying crypto protocols. Forks may occur, and we are not liable for unsupported forks.

4.14 Digital Currency Title – Custodial assets remain your property. Risks of value fluctuation are yours. Withdrawals may take up to 48 hours to process.

5. TRANSACTION LIMITS AND ENHANCED DUE DILIGENCE

5.1 Transaction Limits – Limits may apply to daily or periodic transaction volumes.

5.2 Enhanced Due Diligence – Additional verification may be required to increase limits.

6. SUSPENSION, TERMINATION, AND CANCELLATION

6.1 We may suspend, restrict, or terminate accounts for legal, regulatory, or security reasons.

6.2 Notice – Where lawful, we will provide notice of account suspension or termination.

6.3 Consequences – Upon termination, pending transactions may be cancelled. Outstanding balances must be withdrawn.

7. LIABILITY

7.1 Release – We are not liable for disputes between users.

7.2 Indemnification – You agree to indemnify us for claims arising from your breach of this Agreement or applicable law.

7.3 Limitations of Liability – Aggregate liability is capped at the value of Digital Currency in your account at the time of the claim.

7.4 No Liability for Certain Losses – Loss of profits, reputation, business opportunity, or indirect losses are excluded.

7.5 Applicable Law – Nothing limits liability for fraud, gross negligence, personal injury, or death.

7.6 No Warranties – Services are provided “as is” and “as available.”

7.7 Force Majeure – We are not liable for disruptions caused by events beyond our control.

8. SERVICE AVAILABILITY AND ACCURACY

8.1 Services may be unavailable during high volatility. We are not liable for delays or missed opportunities.

9. CUSTOMER FEEDBACK, QUERIES, COMPLAINTS, AND DISPUTE RESOLUTION

9.1 Contact us via contact@longtokens.com for any feedback or complaints.

9.2 Complaints will be addressed within 15 business days, with possible extension to 35 business days.

10. DATA PROTECTION

We will process your personal data in accordance with our Privacy Policy.

11. SECURITY

Report any security breaches promptly to support@longtokens.com and follow instructions to mitigate risks.

12. GENERAL

12.1 Compliance with Australian law is required.

12.2 Prohibited Uses – see Appendix 1.

12.3 Relationship – No partnership or agency created by this Agreement.

12.4 Privacy of Others – Maintain confidentiality of other users’ information.

12.5 Contact Information – Keep your contact details up to date.

12.6 Taxes – You are responsible for applicable taxes.

12.7 Unclaimed Property – LongTokens may report unclaimed funds to authorities in accordance with Australian law.

12.8 Entire Agreement – This Agreement constitutes the entire agreement between you and LongTokens.

12.9 Interpretation – Section headings are for convenience only.

12.10 Transfer and Assignment – Personal rights cannot be assigned; LongTokens may assign its rights.

12.11 Security Interests – Do not create security interests over your crypto unless permitted.

12.12 Invalidity – Severable provisions do not affect the remainder.

12.13 Enforcement – Failure to enforce rights is temporary and does not waive enforcement.

12.14 Language – English governs in case of translation inconsistencies.

12.15 Change of Control – LongTokens may transfer your information in a corporate change.

12.16 Survival – Provisions extending beyond termination remain binding.

12.17 Governing Law – This Agreement is governed by the laws of Victoria, Australia, and parties submit to the non-exclusive jurisdiction of Victorian courts.

12.18 Amendments – LongTokens may amend this Agreement, effective upon posting. Continued use constitutes acceptance.

Appendices

Appendix 1 – Prohibited Use
Do not use LongTokens for unlawful activity, fraud, intellectual property infringement, abuse, or any activity violating applicable law.

Appendix 2 – Communications
You agree to receive all communications electronically via email or SMS (for 2FA or account alerts). Contact contact@longtokens.com to update or withdraw consent.
